Terms of Service

VEXORS is a B2B procurement platform that enables buyers to issue structured RFQ/RFP/RFI requests and enables suppliers to submit structured bids, build trust scores, and manage product catalogs. The platform includes AI-assisted bid evaluation, supplier discovery, and procurement analytics.

VEXORS is available to registered business entities only. Individuals may not register in a personal capacity. By creating an account, you represent that you have the authority to bind your organisation to these Terms. Users must be at least 18 years old.

You agree not to use VEXORS to:

• Submit fraudulent, misleading, or fabricated bids or requests.
• Attempt to access data belonging to another company or user.
• Reverse-engineer, scrape, or extract data from the platform without authorisation.
• Violate any applicable law, including export control and sanctions laws.
• Transmit malware, spam, or unsolicited communications through the platform.
• Impersonate another company or individual, or misrepresent your identity or authority.

Violation of these terms may result in suspension or permanent termination of your account at VEXORS' discretion, with or without prior notice depending on the severity of the violation. VEXORS reserves the right to report illegal activity to the relevant authorities.

Subscriptions are billed monthly or annually as selected at checkout and processed by Stripe. All prices are shown exclusive of applicable taxes unless otherwise stated. Applicable taxes (including VAT) are calculated at checkout based on your billing country. We also accept bank transfer for enterprise subscriptions: contact us at sales@vexors.com to arrange.

Auto-renewal: Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You may cancel at any time via Settings → Billing. Cancellation takes effect at the end of the current billing period; access continues until the period ends. Refunds are not provided for partial periods unless required by applicable law. Failed payment: If a payment fails, we will attempt to retry the charge. If payment is not successfully processed, your account will automatically downgrade to the Explore (free) tier. No partial refund is issued for the unused portion of the billing period. Your data will be retained in accordance with our Privacy Policy.

We may change subscription pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.

Explore (free tier): The Explore tier is a permanent freemium offering: it is not a time-limited trial. You may remain on Explore indefinitely subject to its usage limits. No payment is required.

Grow and Scale tiers: Paid tiers unlock higher usage limits and additional features as described on the Pricing page. Your subscription tier limits are shown in Settings → Billing.

Automatic downgrade: If a Grow or Scale subscription payment fails or is not renewed, your account automatically reverts to the Explore tier. Your account will enter a restricted state: no new activities or transactions may be initiated until your next billing anniversary date (the date corresponding to your original subscription start date in each calendar month). After the anniversary reset, you must bring your account into compliance with Explore tier limits (for example, by removing team members or closing active requests that exceed those limits) before normal Explore-tier usage resumes. VEXORS will not delete your data during this process; retention is governed by our Privacy Policy.

Checkout is self-service: no purchase order is required. The price you pay is the amount shown at checkout, exclusive of applicable taxes. Accepted payment methods are credit or debit card (via Stripe) and bank transfer (enterprise accounts only). All purchases are final; see our Refund & Cancellation Policy for full details.

The VEXORS platform facilitates procurement discovery and workflow (RFQ, RFP, RFI, bidding, evaluation). VEXORS does not process or settle payments between buyers and suppliers: those commercial transactions are conducted directly between the parties outside the platform. VEXORS bears no liability for the outcome of buyer-supplier transactions.

VEXORS FZC owns all intellectual property in the platform, including software, design, AI models, and documentation.

Your company data, including requests, bids, catalog items, and company profile information, remains your property at all times. You grant VEXORS a limited, non-exclusive licence to process your data solely to provide the service.

You may export your data at any time via account settings. We recommend exporting your data before closing your account. Upon account closure, your data will be retained for the period specified in our Privacy Policy and then permanently deleted. Deletion is irreversible.

To the maximum extent permitted by applicable law, VEXORS FZC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of, or inability to use, the platform.

Our aggregate liability for any claim arising from or related to these Terms or your use of the platform shall not exceed the total amount you paid to VEXORS in the 12 months immediately preceding the event giving rise to the claim.

These Terms are governed by the laws of the United Arab Emirates. Any disputes arising from or relating to these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of Sharjah, United Arab Emirates, unless otherwise agreed in writing between the parties.

We may update these Terms from time to time to reflect changes in our services, applicable law, or business practices. Material changes will be communicated by email to the registered account owner and by prominent notice on the platform at least 14 days before they take effect.

Continued use of the platform after the effective date constitutes acceptance of the updated Terms. If you do not accept the updated Terms, you may cancel your subscription before the effective date.
